WAIVER OF CLAIMS AND RELEASE OF LIABILITY

This agreement is a WAIVER OF CLAIMS and RELEASE OF LIABILITY by the “Participant” in favour of BAPS Charities Limited (ACN 647 509 439), affiliated organisations, and sponsors (“Releasee”), for participation in the Walk/Run (“Event”). In return for the opportunity to participate in the Event, I affirm to the below statements and give my consent to each of the following:
RELEASE AND ACKNOWLEDGMENT
(1) There may be risks of harm or injury or death, including but not limited to contracting Coronavirus (COVID-19), with my participation in the event. I accept and assume responsibility for such risks. I will adhere to all guidelines as prescribed by applicable authorities. I will take all training required and will comply with the safety instructions, rules, and policies provided to me. I have no known physical or mental condition or a medical condition that restricts my ability to participate and do what is expected of me.

(2) I release, indemnify, and hold harmless the Releasees (and all of its officers, directors, employees, agents, insurers, and successors), to the extent permitted by applicable law, for any and all claims and liabilities (including fees and costs) to persons or property caused in any manner by my participation in the event, or volunteer activities or in me contracting or transmitting the Coronavirus as a result of my conduct as a participant.

(3) For myself, my legal representatives, my heirs, and all who claim from me, I waive and release all rights, claims, damages, losses, and/or complaints against Releasee (and all of its officers, directors, employees, agents, insurers, and successors) for any injury or damages, including but not limited to, contracting or transmitting the Coronavirus arising out of the acts or omissions of myself, Releasee, any other volunteer or participant, or any other person (including those arising as a result of the negligence of any of the foregoing).
PERMISSION TO USE PHOTO/VIDEO RECORDINGS
(4) I understand and agree that Releasee may use photographs and/or recordings, whether video or audio, of me taken or recorded while I am participating in the event or Volunteer work, and I hereby release irrevocably all rights of any kind in such photographs and/or recordings and consent to Releasee’s perpetual worldwide use of such photographs and/or recordings and their reproduction and distribution in all media. This release includes any and all claims I may have, however characterised, including claims of rights of privacy and publicity, false light, libel, defamation and copyright. I agree that Releasee may reproduce such photographs and/or recordings and all or any part of their content in any format Releasee chooses and use them for any purpose related to its non-profit operations (including commercial use in promotional materials, public relations, and advertising) as Releasee may determine, without compensation to me. I understand that Releasee will rely on this release and that I cannot revoke, withdraw, or cancel it.
MISCELLANEOUS
(5) This agreement is intended to be as broad and inclusive as permitted by law. If any portion of this agreement is held invalid, the balance of this agreement shall continue in full force and legal effect. This agreement shall be construed and enforced by the laws of Victoria.

(6) For purposes of this agreement, all references to “I”, “me”, “myself”, etc. shall, as applicable, refer to and include any Participant who is the minor child or ward of the parent/guardian signing below, and the provisions of this agreement shall be applicable to such Participant and govern his or her participation in the Event.

(7) I acknowledge that the provisions of this agreement, including the waiver and release of liability, are legally binding. I am signing it voluntarily, and with the understanding that, by doing so, I am agreeing to waive and release legal rights. I intend that this agreement shall be enforceable in the event of any future litigation. No oral representations or promises apart from this agreement have been made to me.

TERMS AND CONDITIONS FOR INDEPENDENT FUNDRAISERS INTRODUCTION The support of our fundraisers have been extremely valuable in enabling us to raise funds that helps us continue our charitable work that benefits not only the community we live in but also the world at large. To ensure that our fundraisers are aware of our expectations as to the assistance we expect and hope they will provide, we have set forth our terms and conditions which describe the relationship between you and BAPS Charities, Inc. (“Charity”). As consideration for the Charity agreeing to allow you to support as an Independent Fundraiser, you agree to be bound by these conditions. OBLIGATIONS As an Independent Fundraiser, you: • agree that you are of age 18 years (or the age of majority in your jurisdiction, whichever is higher) or over; • agree to perform your role as a Fundraiser to the best of your ability; • agree to follow our procedures, standards, and guidelines which are notified or made available to you; • agree not to use our name or logo for any purpose other than in connection with our sponsored event for which you wish to register and help raise funds; • agree to use only promotional materials provided by us; • agree to indemnify, defend and hold BAPS Charities harmless, including its affiliates and its directors, officers, employees, agents and volunteers from and against any and all suits, claims, demands, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating in any way to your fundraising activity; • agree to abide by all of our fundraising guidelines and logo usage guidelines; • agree to comply with all federal, state and local charitable solicitation statutes, regulations and ordinances that affect or apply to the fundraising activity; • cannot claim to be a representative of BAPS Charities; • cannot use the BAPS Charities Tax ID number to avoid sales or other taxes; • cannot provide receipts to donors or promise tax deductions for event sponsorships or fees; and • confirm that you have not been convicted of any criminal offence involving dishonesty, misappropriation of funds, theft or fraud. TERMINATION This arrangement will terminate upon completion of the sponsored event. This arrangement will terminate forthwith in the event of a breach of your obligations or if you are convicted of any criminal offence involving dishonesty, misappropriation of funds, theft or fraud. Upon termination, you will refrain from claiming any ongoing association with us. GENERAL • For purposes of this agreement, all references to “you”, “your”, etc. shall, as applicable, refer to the Independent Fundraiser. • For purposes of this agreement, all references to “us”, “our”, etc. shall, as applicable, refer to the Charity. • Nothing in these conditions is intended to nor shall create any partnership, joint venture or agency between us. • Issues concerning the construction, validity, interpretation and enforceability of these Terms and Conditions are governed by the laws of the State of New Jersey. All disputes shall be resolved individually, and without resort to class action, exclusively by arbitration in Piscataway, New Jersey, using the least formal rules and procedures of the American Arbitration Association. All judgments or awards are limited to actual out-of pocket damages (excluding attorney's fees) associated with participation in the Charity’s event and must not include any indirect, punitive, incidental and/or consequential damages. The volunteer-fundraiser waives any and all objections to jurisdiction and/or alternative dispute resolution process, and hereby submits to arbitration.

Registration fees for the Event are nonrefundable. Even in case of any subsequent registration changes done by the registrant, the fees once paid shall be nonrefundable. BAPS Charities will offer the option of a refund of the fees only if there is a change in BAPS Charities’ ability to hold the Event unless such a change is due to circumstances beyond the control of BAPS Charities.
